These Terms of Service ("Terms") govern access to and use of the Inscriti website, mobile applications, and related services (collectively, the "Service") operated by Jordan Feldstein LLC d/b/a Inscriti ("Inscriti," "we," "our," or "us").
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a school, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
1. Service Description
Inscriti provides a school communication and operations platform that may include announcements, posts, groups or classes, calendars, forms, messaging, media sharing, notifications, school directories, administrative tools, and related features. Features may vary by school, plan, user role, and platform.
2. Eligibility and Authorized Use
The Service is intended for schools, school staff, administrators, parents, guardians, students, and other authorized school community members. Users under 13 may use the Service only when authorized by a school and/or with required parental or guardian consent. You may use the Service only for lawful, school-related, educational, and community communication purposes.
3. Accounts and Security
You agree to provide accurate account information, maintain the confidentiality of your login credentials, and promptly notify Inscriti or your school administrator of suspected unauthorized access. You are responsible for activity occurring under your account unless caused by Inscriti’s failure to use reasonable security safeguards.
4. School Administration and User Permissions
Schools are responsible for designating administrators, managing user access, assigning roles and permissions, inviting or removing users, and determining what information is shared through the Service. Inscriti may rely on instructions from school administrators regarding school accounts and school-controlled data.
5. Student Data and School Data
As between Inscriti and the school, the school owns and controls student data and school-controlled content provided to the Service. Inscriti receives a limited right to host, process, transmit, display, and support such data solely to provide, secure, maintain, and improve the Service, as permitted by the applicable school agreement, privacy policy, and data processing addendum.
6. User Content
Users may upload, post, send, or submit messages, announcements, photos, videos, files, forms, comments, and other content ("User Content"). You retain ownership of User Content you lawfully submit. You grant Inscriti a limited, non-exclusive license to host, store, reproduce, process, display, and transmit User Content solely as necessary to provide and support the Service.
7. Media, Photos, and Student Images
The Service may allow upload or sharing of photos, videos, profile images, and other media, including media that may identify students. Users and schools are responsible for ensuring they have all required rights, authorizations, and consents before uploading or sharing media. Inscriti does not independently verify parental media consent or school photo-release permissions.
8. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes harassment, bullying, threats, impersonation, posting unlawful or inappropriate content, violating privacy or intellectual property rights, uploading malicious code, attempting unauthorized access, interfering with Service security, scraping data without authorization, or using the Service for spam, advertising, or non-school commercial purposes.
9. Content Moderation and Suspension
Inscriti may remove content, restrict features, suspend accounts, or terminate access if we reasonably believe a user has violated these Terms, school instructions, applicable law, or poses a risk to the Service, users, minors, data security, or platform integrity. Where appropriate, Inscriti may coordinate with the applicable school administrator.
10. Privacy
Use of the Service is governed by the Inscriti Privacy Policy and, where applicable, a School Subscription Agreement and Data Processing Addendum. Those documents explain how information is collected, used, disclosed, retained, and protected.
11. Fees and Paid Features
Some features may be free and others may require payment by a school, organization, or user. Fees, billing terms, subscription period, renewal, taxes, and cancellation terms may be set out in an order form, school agreement, or checkout flow. We may add, remove, or change paid plans with notice as required by applicable law or contract.
12. Intellectual Property
The Service, software, design, features, trademarks, logos, and related technology are owned by Inscriti or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you. You may not copy, modify, reverse engineer, decompile, distribute, sell, or create derivative works from the Service except as permitted by law.
13. Feedback
If you provide suggestions, ideas, or feedback, you grant Inscriti the right to use them without restriction or compensation, provided we do not disclose your confidential information or student data in doing so.
14. Third-Party Services
The Service may integrate with or rely on third-party services, including cloud hosting, email, notifications, analytics, authentication, payment processing, app stores, or school information systems. Third-party services may have their own terms and privacy practices.
15. App Store Terms
If you download the mobile application from the Apple App Store or Google Play, you agree to comply with the applicable app store terms. These Terms are between you and Inscriti, not Apple or Google. Apple and Google are not responsible for support, maintenance, claims, or warranties regarding the Service, except as required by their own terms or applicable law.
16. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Inscriti disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and complete security. Inscriti does not control user-generated content or school decisions made using the Service.
17. Limitation of Liability
To the fullest extent permitted by law, Inscriti and Jordan Feldstein LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or cost of substitute services. Unless a separate signed agreement states otherwise, Inscriti’s total liability for all claims will not exceed the greater of $100 or the amounts paid to Inscriti for the Service giving rise to the claim during the 12 months before the claim.
18. Indemnification
You agree to defend, indemnify, and hold harmless Inscriti, Jordan Feldstein LLC, and their owners, officers, employees, contractors, and agents from claims arising from your use of the Service, User Content, violation of these Terms, violation of law, or violation of another person’s rights. Schools are responsible for claims arising from school instructions, school-provided data, user authorization decisions, and consents the school is required to obtain, except to the extent caused by Inscriti’s breach of a signed agreement.
19. Termination
You may stop using the Service at any time. Inscriti may suspend or terminate access as described in these Terms or any applicable school agreement. Upon termination, rights granted to you will end, but provisions that by their nature should survive will survive, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.
20. Changes to the Service and Terms
We may update the Service and these Terms from time to time. When changes are material, we will provide notice as appropriate. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.
21. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, unless a signed school agreement states otherwise or applicable law requires otherwise.
